Partner at Headrick, Mr. Marranzini concentrates his practice in the areas of business law, corporate law and commercial laws generally, with an emphasis on mergers and acquisitions, banking and financial transactions and project finance and development. He regularly advises international and domestic clients from various industries on regulatory matters, including data protection.

Mr. Marranzini’s practice has been recognized by several leading international publications. Chambers & Partners 2023 recognizes Mr. Marranzini for his work in its most recent Corporate/Commercial guide, remarking that he “elicits significant praise from interviewees, with one noting: ‘He is an extremely service-oriented lawyer. Fernando Marranzini received his Bachelor of Laws, Magna Cum Laude, from Universidad Iberoamericana, in 2010. He holds a Master of Laws (LL.M) in Global Business Law from New York University, as well as a Master of Laws (LL.M) in Corporate & Financial Services Law from the National University of Singapore. In 2015, Mr. Marranzini completed a Dual Degree Master of Laws (LL.M) program in Administrative Law from the Universidad de Salamanca & Instituto Global de Altos Estudios en Ciencias Sociales.

Mr. Marranzini is a member of the New York State Bar Association and the Dominican Bar Association. He is fluent in English and Spanish.

Selected Representative Transactions:

  • Represented the Norwegian Investment Fund for Developing Countries (NORFUND) in its first capital investment in the Dominican Republic, whereby it subscribed and paid for new shares issued by financial institution Banco Múltipe BDI, equivalent to 20% of the entity’s capital.
  • Represented a leading distributor of consumer goods in its acquisition of the “Munné” brand and chocolate manufacturing business. The transaction was the culmination of the country’s first court-sanctioned sale process of its kind, resulting from insolvency proceedings of Munné involving claims exceeding USD$37 million, under the country’s newly implemented restructuring and insolvency regulations.
  • Counseled Isla Dominicana de Petróleo in connection with its partnership with Parkland subsidiary Sol Investments SEZC, in order to create the Dominican Republic’s largest network of gas stations.
  • Advised EGE Haina and Fiduciaria Popular, as settlor and trustee, respectively, of the Fideicomiso de Oferta Publica de Valores Larimar I No. 04 – FP trust, in structuring the first of its kind issuance of “green bonds” in the Dominican securities market, for a total amount of USD$100 million.
  • Represented Integer Holdings in its USD$220 million acquisition of Oscor Caribe, a medical device company with extensive operations and manufacturing facilities in the Dominican Republic.
  • Advised The Bank of Nova Scotia and other lenders in restructuring and repackaging several loans held by Phoenix Tower International and numerous subsidiaries into a USD$2 billion facility. Finalist for the “2023 Latin America Deal of the Year– Latin Lawyer”
    in the Corporate finance: Banking and finance category.
  • Represented Grupo Diesco, in connection with investments made by and credit facilities granted by Goldman Sachs’ West Street Strategic Solutions Fund I, totaling USD$275 million.
  • Dominican Republic legal counsel to Spectrum Brands Holdings, for the restructuring of its local business operations, carried out in connection with the acquisition by Energizer Holdings, of Spectrum´s global battery, lighting and portable power business for USD$2 billion.
